NOTICE: THIS SQLABS SOFTWARE PRODUCT (TOGETHER WITH ITS ACCOMPANYING DOCUMENTATION, THE "SOFTWARE") IS THE PROPERTY OF SQLABS. THE SOFTWARE IS MADE AVAILABLE TO YOU, THE ORIGINAL PURCHASER, SUBJECT TO THE FOLLOWING LICENSE AGREEMENT ("LICENSE"). PLEASE READ THIS LICENSE CAREFULLY BEFORE INSTALLING OR USING THE SOFTWARE. IF YOU DO NOT AGREE TO THE TERMS OF THIS LICENSE, DO NOT INSTALL, DOWNLOAD, PURCHASE OR USE THE SOFTWARE.
1. GRANT OF LICENSE
SQLabs grants you the right to use one copy of the Software on a single computer. You may not network the Software or otherwise use it on more than one computer at the same time. In order to be able to use the software on more than one computer at the same time, you need to purchase a multiplatform or a company license.
2. GENERAL LIMITATIONS
(1) You may not reverse engineer, decompile, or disassemble the Software (except and only to the extent that such activity is expressly permitted by applicable law notwithstanding this limitation), or create derivative works based on the Software.
(2) You may not permit concurrent use of the Software except with a multi-user (company) license.
(3) You must maintain all copyright notices on all copies of the Software.
(4) You may distribute copies of the Software to third parties provided you do not supply any serial numbers to the third party.
(5) You may not rent, lease or lend the Software.
(6) You may permanently transfer all of your rights under this license, provided the recipient agrees to the terms of this license.
(7) Without prejudice to any other rights, SQLabs may terminate this license if you fail to comply with the terms and conditions of this license. In such event, you must destroy all copies of the Software and all of its component parts.
3. UPGRADES
If you have purchased an upgrade version of the Software, it constitutes a single product with the copy of the Software that you upgraded. This means that, although you may have two sets of Software media, you still have only one license. Therefore, you may not transfer the original copy of the Software to any other party.
4. COPYRIGHT
All title and copyrights in and to the Software and any copies thereof are owned by SQLabs. The Software is protected by international copyright treaties. All title and intellectual property rights in and to the content which may be accessed through use of the Software is the property of the respective content owner and may be protected by applicable copyright or other intellectual property laws and treaties. This license grants you no rights to use such content.
5. U.S. GOVERNMENT RESTRICTED RIGHTS.
The Software is provided with RESTRICTED RIGHTS. Use, duplication, or disclosure by the Government is subject to restrictions as set forth in subparagraph (c)(1)(ii) of the Rights in Technical Data and Computer Software clause at DFARS 252.227-7013 or subparagraphs (c)(1) and (2) of the Commercial Computer Software Restricted Rights at 48 CFR 52.227-19, as applicable.
6. EXPORT RESTRICTIONS.
You may not directly or indirectly transfer the Software, including its documentation, to any country if such transfer would be prohibited by applicable law, including the U.S. Export Administration Act and the regulations issued thereunder. You agree to the foregoing and you are representing and warranting that you are not located in, under the control of, or a national or resident of any such country. You will be solely responsible for identifying and complying with all laws of any jurisdiction outside of the United States regarding the import, export or use of Softwares and technical data supplied by SQLabs. You will obtain at your own expense all licenses, permits or approvals required by any government to use the Software.
7. NO WARRANTIES.
SQLabs expressly disclaims any warranty for the Software. The Software and any related documentation is provided "as is" without warranty of any kind, either express or implied, including, without limitation, the implied warranties or merchantability, fitness for a particular purpose, or noninfringement. The entire risk arising out of use or performance of the Software remains with you.
8. NO LIABILITY FOR DAMAGES.
In no event shall SQLabs or its suppliers be liable for any damages whatsoever (including, without limitation, damages for loss of business profits, business interruption, loss of business information, or any other pecuniary loss) arising out of the use of or inability to use this SQLabs Software, even if SQLabs has been advised of the possibility of such damages. Because some states/jurisdictions do not allow the exclusion or limitation of liability for consequential or incidental damages, the above limitation may not apply to you.
9. SEVERABILITY
If the terms of this agreement are invalid or unenforceable under any applicable statute or rule of law, the court is requested to reform the contract to include an enforceable term as close to the intent of the original term as possible and to leave the remaining provisions of this agreement unaffected.
10. ENTIRE AGREEMENT
This agreement constitutes the entire agreement between you and SQLabs. Any changes or modifications to this agreement need to be approved by SQLabs. The laws of the State of California and the United States of America govern this agreement.
11. MISCELLANEOUS
If you acquired this Software in the United States, this license is governed by the laws of the State of California. If this product was acquired outside the United States, then local law may apply.
